1. About HopRx

HopRx provides technology-enabled healthcare coordination services designed to help individuals and organizations connect with appropriate healthcare providers, pharmacies, medication-support services, logistics providers, and other participating partners.

HopRx may assist with telemedicine coordination, pharmacy and medication-related requests, care coordination, communication between participating providers, status updates, and related support.

Services may vary depending on location, provider availability, and the nature of the request.

2. HopRx Is a Coordination Service

HopRx is a coordination platform and is not itself a physician, healthcare practitioner, pharmacy, insurer, laboratory, or emergency medical service.

Healthcare professionals, pharmacies, and other participating providers are independent and remain responsible for the professional services they provide.

Medical advice, diagnosis, prescribing, treatment, dispensing, and other professional decisions are made by the applicable licensed provider and not by HopRx.

3. Not for Medical Emergencies

HopRx is intended for non-emergency healthcare and medication-support needs.

Do not use HopRx for a medical emergency. If you believe you are experiencing a medical emergency, call 911 or your local emergency services immediately.

4. No Guarantee of Services or Outcomes

HopRx helps coordinate access to services but does not guarantee:

• that a healthcare provider will accept or complete a request;
• that a prescription will be issued;
• that a particular medication will be available or dispensed;
• that insurance will provide coverage or reimbursement;
• that a particular pharmacy, provider, delivery service, or other partner will be available; or
• that a service will be completed within a particular timeframe.

Service availability may vary by location and provider.

5. Information You Provide

You agree to provide information that is accurate and reasonably complete when using HopRx.

If you provide information on behalf of another person, you confirm that you have the appropriate authority or consent to do so.

You are responsible for notifying HopRx or the applicable provider if information you have provided is incorrect or changes in a way that may affect the requested service.

6. Healthcare, Pharmacy and Other Partners

HopRx may coordinate with independent healthcare professionals, pharmacies, logistics providers, delivery services, and other third parties.

These providers may have their own professional responsibilities, eligibility requirements, privacy practices, terms, and fees.

HopRx does not control the independent professional judgment of healthcare professionals or pharmacists and is not responsible for their independent acts or omissions.

7. Prescriptions and Medications

HopRx does not prescribe or dispense medications.

Decisions regarding whether a prescription is appropriate are made by the applicable licensed healthcare professional. Decisions regarding dispensing, substitution, availability, and pharmacy services are made by the applicable pharmacy or pharmacist.

Medication-related services remain subject to applicable laws, professional requirements, availability, and provider policies.

8. Accounts and Acceptable Use

Where an account is required, you are responsible for maintaining the confidentiality of your login information and for activity occurring through your account.

You may not use HopRx:

• for unlawful or fraudulent purposes;
• to impersonate another person;
• to provide knowingly false or misleading information;
• to obtain healthcare, prescription, or pharmacy services improperly;
• to interfere with the security or operation of the Services; or
• to access systems, accounts, or information without authorization.

HopRx may restrict or suspend access where reasonably necessary for safety, security, legal, or operational reasons.

9. Communications

HopRx may communicate with you by email, telephone, text message, application notification, or other communication methods you provide or authorize.

Status updates may depend on information supplied by participating providers or partners and may not always be available in real time.

10. Privacy

Your use of HopRx is also subject to the HopRx Privacy Policy, which explains how personal information is collected, used, disclosed, and protected.

By using HopRx, you acknowledge that information may need to be shared with participating healthcare providers, pharmacies, logistics providers, or other service partners where reasonably necessary to coordinate the requested service and as described in the Privacy Policy.

11. Third-Party Services

HopRx may contain links to, integrate with, or rely on services operated by third parties.

HopRx is not responsible for the availability, content, security, privacy practices, or independent services of third-party websites, systems, healthcare providers, pharmacies, logistics providers, or other organizations.

12. Intellectual Property

The HopRx name, logo, website, software, content, graphics, and related materials are owned by or licensed to HopRx and are protected by applicable intellectual property laws.

You may use the Services only for their intended purposes and may not reproduce, distribute, modify, reverse engineer, or commercially exploit HopRx materials except where permitted by law or authorized by HopRx.

13. Service Availability

HopRx may modify, suspend, or discontinue all or part of the Services from time to time.

We do not guarantee that the website or Services will always be available, uninterrupted, secure, or error-free.

14. Limitation of Liability

To the maximum extent permitted by applicable law, HopRx will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.

HopRx is not responsible for the independent professional decisions, acts, omissions, delays, or services of healthcare professionals, pharmacies, insurers, carriers, logistics providers, or other third parties.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

15. Changes to These Terms

HopRx may update these Terms from time to time.

The current version and effective date will be posted on the HopRx website. Continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada.

Any dispute relating to these Terms will be subject to the jurisdiction of the courts of Ontario, except where applicable law requires otherwise.
